1. Agreement to Terms
1.1 These Terms and Conditions constitute a legally binding agreement between you (“you” or “User”) and MEDCONNECT EUROPE LIMITED, a private company limited by shares incorporated in Ireland under Company Number 754335, whose registered office is at Suite 10836, 26/27 Pembroke Street Upper, Dublin 2, D02 X361, Ireland (“we”, “us”, “MedConnect Europe”), governing your access to and use of our websites, including medconnecteurope.co.uk and medconnectsynapse.co.uk, and all related services (together, the “Site” and “Services”).
1.2 Our Services include: (a) consultation, advisory, and placement support services for prospective and current medical students; and (b) the MedConnect Synapse online learning and assessment platform (“Synapse Platform”), a secure, private platform providing timed assessments, question banks, auto-marking and tutor-led marking workflows, and related academic support tools for authorised students and clients.
By accessing the Site and/or Services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you must not use the Site or Services.
1.3 The Privacy Policy and any other supplemental policies posted on the Site are expressly incorporated into these Terms and Conditions by reference.
1.4 We may update these Terms and Conditions at any time. Updates will be indicated by a revised “Last updated” date and will be effective from the date of publication. Your continued use of the Site or Services constitutes acceptance of any such updates.
1.5 We may update or change the Site and Services from time to time to reflect changes to our products, our users’ needs, and our business requirements.
1.6 MEDCONNECT EUROPE LIMITED is incorporated in Ireland and operates under Irish law. Nothing in these Terms is intended to contravene applicable local law in any jurisdiction. The information on the Site is not intended for use in any jurisdiction where such use would be contrary to law or regulation.
1.7 The Site and Services are intended for users who are at least 18 years old. If you are under 18, you must not register for the Site or use the Services without verifiable parental or guardian consent.
2. Acceptable Use
2.1 You may not access or use the Site for any purpose other than that for which we make it available. The Site may not be used in connection with any commercial undertaking except those specifically endorsed or approved by us.
2.2 As a user of this Site, you agree not to:
- Systematically retrieve data or other content from the Site to compile a database or directory without our prior written permission;
- Circumvent, disable, or otherwise interfere with security-related features of the Site, including features that prevent or restrict the use or copying of any content;
- Engage in unauthorised framing of or linking to the Site;
- Trick, defraud, or mislead us or other users, including any attempt to obtain sensitive account information such as passwords;
- Make improper use of our support services, or submit false reports of abuse or misconduct;
- Interfere with, disrupt, or create an undue burden on the Site or networks and services connected to it;
- Attempt to access any portions of the Site that you are not authorised to access;
- Harass, intimidate, or threaten any of our employees, agents, or other users;
- Use or engage in any automated use of the system, such as scripts, robots, scrapers, offline readers, or similar data gathering and extraction tools;
- Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Site;
- Use the Site in a manner inconsistent with any applicable laws or regulations;
- Misrepresent your identity, experience, skills, or personal information;
- Advertise products or services not endorsed by us;
- Falsely imply a relationship with us or another company with whom you have no relationship.
3. MedConnect Synapse Platform — Specific Terms
This Section 3 applies to all users who have been granted access to the MedConnect Synapse Platform. It supplements the general Terms set out elsewhere in this document and, in the event of any conflict regarding Synapse Platform use, this Section 3 shall prevail.
3.1 Authorised Access Only
Access to the Synapse Platform is strictly limited to individuals who have been individually and personally authorised by MedConnect Europe. Platform access is granted as a personal, non-transferable licence for the duration of your enrolment or engagement with MedConnect Europe. Only current, authorised users may access or use the Synapse Platform at any time.
3.2 Account Security and Personal Use
(a) Your login credentials — including your email address, username, and password — are strictly personal to you and must not be shared with, disclosed to, or used by any other person, whether a fellow student, colleague, or any third party.
(b) You must not allow any other person to access the Synapse Platform using your account, whether by sharing credentials, facilitating simultaneous access, or by any other means.
(c) You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
(d) You must notify us immediately at info@medconnecteurope.co.uk if you become aware of or suspect any unauthorised access to your account.
(e) Each account is issued for the use of one named individual only. Multiple individuals may not share a single account.
3.3 Prohibited Conduct in Relation to Platform Content
All content available on the Synapse Platform — including all questions, question banks, test papers, image-based materials, answer data, explanations, marking schemes, tutor feedback, performance reports, and any other assessment or academic materials (together, “Platform Content”) — constitutes proprietary content owned by or licensed to MedConnect Europe. You expressly agree that you will not:
- Copy, reproduce, photograph, screenshot, screen record, download, print, or otherwise capture any Platform Content in any format or medium;
- Distribute, share, transmit, forward, publish, post, upload, or otherwise circulate any Platform Content to any third party — whether by electronic means, messaging applications, social media, printed materials, or any other medium;
- Sell, license, sublicense, or commercially exploit any Platform Content in any way;
- Share question content, answers, or explanations with other students or individuals — including those enrolled in the same programme — who have not accessed that content through their own authorised Synapse Platform session;
- Reproduce, adapt, compile, rebuild, or create any database, question bank, test set, or derivative work based on Platform Content;
- Attempt to reverse engineer, decompile, extract, replicate, or reconstruct the Synapse Platform or any Platform Content, including its question banks, scoring logic, algorithms, or underlying data structures;
- Use or attempt to use any data scraping tool, automated access, API call, or other technical method to extract Platform Content in bulk or in part.
3.4 Confidentiality of Platform Content
You acknowledge that Platform Content constitutes commercially sensitive and proprietary material. You agree to treat all Platform Content as confidential and not to disclose it to any third party. You must take reasonable steps to prevent its unauthorised disclosure.
3.5 Monitoring and Security
We reserve the right to monitor access to and use of the Synapse Platform for the purposes of security, detecting misuse, and protecting Platform Content and our proprietary systems. By using the Platform, you acknowledge and consent to such monitoring to the extent permitted by applicable law. Our Privacy Policy sets out how we process personal data in connection with platform monitoring and security.
3.6 Consequences of Misuse
Any breach of this Section 3 may result in, at our sole discretion:
- Immediate suspension or permanent termination of your access to the Synapse Platform and all associated Services, without refund;
- Notification to your university, medical school, educational institution, or relevant programme administrator;
- Civil legal action to recover losses arising from misuse, including the value of Platform Content misappropriated or circulated;
- Any other remedies available under Irish law or equity.
We take the protection of our Platform Content seriously and reserve the right to take legal and contractual action where appropriate.
4. Our Content
4.1 Unless otherwise indicated, the Site and Services — including source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, questions, assessments, and all other materials (“Our Content”) — are owned by or licensed to MedConnect Europe and are protected by copyright, database rights, trade mark law, and other applicable intellectual property laws.
4.2 Except as expressly stated in these Terms, no part of the Site, Services, or Our Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any purpose without our express prior written permission.
4.3 Subject to your eligibility to use the Site, you are granted a limited, personal, non-exclusive, non-transferable licence to access the Site and Our Content solely for your personal, non-commercial use as part of an authorised programme or engagement with MedConnect Europe. This licence does not permit the downloading, storing, or redistribution of Platform Content.
4.4 You shall not (a) try to gain unauthorised access to the Site or any networks, servers, or computer systems connected to the Site; and/or (b) make any modifications, adaptations, additions, or enhancements to the Site or Our Content.
4.5 The content on the Site is provided for general information purposes only and is not intended to constitute professional, medical, or legal advice. You should obtain appropriate professional advice before acting on any content found on the Site.
4.6 Although we make reasonable efforts to keep information on the Site current, we make no warranties or guarantees that Our Content is accurate, complete, or up to date at any given time.
5. Links to Third Party Content
5.1 The Site may contain links to websites or applications operated by third parties. We do not control any such third-party websites or applications and are not responsible for, and do not endorse, their availability or content.
5.2 We accept no responsibility for advertisements or third-party services accessed through the Site. If you purchase goods or services from any third party, you do so at your own risk.
6. Site Management
6.1 We reserve the right, at our sole discretion, to: (1) monitor the Site for violations of these Terms; (2) take appropriate legal action against anyone in breach of applicable laws or these Terms; (3) remove or disable content that is burdensome to our systems; and (4) manage the Site in a manner designed to protect our rights and property and ensure its proper functioning.
6.2 We do not guarantee that the Site will be secure or entirely free from bugs or technical issues.
6.3 You are responsible for configuring your own technology to access the Site and should use appropriate security and virus protection software.
7. Modifications to and Availability of the Site
7.1 We reserve the right to change, modify, or remove any content of the Site at any time, at our sole discretion, without notice. We also reserve the right to modify or discontinue all or part of the Services without notice.
7.2 We cannot guarantee that the Site and Services will be available at all times. We have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Site or Services during any downtime or discontinuance. We are not obliged to maintain the Site or to provide corrections, updates, or releases.
7.3 There may be information on the Site that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any such errors and to update information at any time without prior notice.
8. Disclaimer / Limitation of Liability
8.1 The Site and Services are provided on an “as-is” and “as-available” basis. All warranties, terms, conditions, and undertakings, whether express or implied, in connection with the Site, Services, and your use thereof — including implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement — are excluded to the fullest extent permitted by applicable law.
We are not liable for: (1) errors or omissions in content; (2) unauthorised access to or use of our servers and/or any personal or financial information stored on our servers; (3) any interruption or cessation of transmission to or from the Site or Services; and/or (4) any bugs, viruses, or similar harmful content transmitted to or through the Site by any third party.
8.2 Whether you are a consumer or a business user:
- We do not exclude or limit our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, and for fraud or fraudulent misrepresentation.
- Our total aggregate liability to you for any cause whatsoever will at all times be limited to the greater of (a) EUR 5,000 or (b) the amount paid by you to us for the Services during the six (6) months immediately prior to the cause of action arising.
If you are a consumer user: we provide the Site for personal, non-commercial use. We have no liability for loss of profit, loss of business, business interruption, or loss of business opportunity. Information about your consumer rights in Ireland is available from the Competition and Consumer Protection Commission (CCPC) at www.ccpc.ie.
9. Term and Termination
9.1 These Terms shall remain in full force and effect while you use the Site or Services or maintain a user account with us. You may terminate your participation at any time by contacting us at info@medconnecteurope.co.uk.
9.2 We reserve the right, at our sole discretion and without notice or liability, to deny access to and use of the Site and Services to any person for any reason, including for breach of any obligation in these Terms or of any applicable law or regulation.
9.3 If we terminate or suspend your account, you are prohibited from registering a new account under any name without our prior written consent. We reserve the right to pursue civil and injunctive remedies.
10. General
10.1 Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive communications from us electronically, and agree that all agreements, notices, and communications we provide electronically satisfy any legal requirement that such communications be in writing.
10.2 These Terms and Conditions, together with the Privacy Policy and any other policies posted on the Site, constitute the entire agreement between you and us in relation to your use of the Site and Services.
10.3 Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
10.4 We may assign any or all of our rights and obligations to others at any time.
10.5 We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any event beyond our reasonable control.
10.6 If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity or enforceability of the remaining provisions.
10.7 There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Terms or your use of the Site or Services.
10.8 These Terms and Conditions are governed by the laws of Ireland. You and we both agree that the courts of Ireland shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms. If you are a consumer resident in another EU member state, you may also be entitled to bring proceedings in the courts of your country of habitual residence. 10.9 All trade marks, brand names, and logos used in connection with MedConnect Europe and the Synapse Platform are the property of MEDCONNECT EUROPE LIMITED or its licensors. You are not permitted to use any of our trade marks or branding without our express prior written consent.
10.10 A person who is not a party to these Terms shall have no right to enforce any term of these Terms.
